Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and World Food Equipment Inc. ("WFE," "we," "us," or "our") governing your access to and use of worldfoodequipment.com (the "Site"), the 3D walk-in configurator, the quote-request forms, and any communications you have with WFE through or in connection with the Site. By accessing or using the Site, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the Site.
1. Definitions
In these Terms, the following capitalized words have the meanings set out below:
- "Configurator" means the 3D walk-in cooler and freezer configurator hosted at
/walk-in-cooler-configuratoron the Site. - "Content" means all text, images, photographs, illustrations, videos, schemas, source code, configurator assets, designs, and other material made available through the Site.
- "Installation Contract" means a written contract signed by you and WFE that sets out the scope, price, schedule, warranty, and payment terms for a specific commercial refrigeration installation project.
- "Quote" means any pricing estimate, indicative price range, or formal written quote provided by WFE for proposed work, whether generated through the Configurator, communicated by email or telephone, or delivered as a formal written document.
- "Services" means the commercial refrigeration design, supply, installation, maintenance, parts, and related services that WFE offers to its customers.
- "User Submission" means any information, content, or materials you submit through the Site, including through quote-request forms, the Configurator, contact forms, file uploads, or email.
- "You" or "Your" means the individual or entity accessing the Site, and if an individual is accessing on behalf of an entity, both that individual and the entity. The individual represents that they are authorized to bind the entity to these Terms.
2. About WFE
World Food Equipment Inc. is a commercial refrigeration contractor incorporated in the Province of Ontario, with its principal place of business at 6265 Netherhart Rd, Mississauga, Ontario L5T 1A2. WFE provides design, supply, installation, maintenance, and parts for walk-in coolers, walk-in freezers, custom cold storage, refurbished equipment, and reach-in refrigeration to commercial operators across Ontario and parts of Canada.
3. Scope of These Terms
These Terms govern your use of the Site and the pre-contract relationship between you and WFE (browsing, requesting a Quote, using the Configurator, contacting our team). They do not govern any Installation Contract, which is a separate written agreement with its own scope, price, payment terms, warranty, schedule, change-order procedures, and other provisions. In the event of a conflict between these Terms and a signed Installation Contract, the Installation Contract governs the subject matter of that contract.
4. Acceptance and Amendments
Your access to or use of the Site constitutes your acceptance of these Terms as in force at the time of access. WFE may amend these Terms from time to time by posting a revised version on the Site. The "Effective" date and version number at the top of this page indicate the current version. Your continued use of the Site after a revised version is posted constitutes your acceptance of the revised Terms. For material changes, WFE will use reasonable efforts to provide notice through the Site or by direct communication. If you do not accept a revised version, you must stop using the Site.
5. Eligibility
The Site is intended for use by individuals who are at least 18 years of age and who have the legal capacity to enter into a binding contract. By accessing the Site, you represent that you meet these requirements. The Site and our Services are directed at commercial operators, not consumers. WFE does not provide installation services for residential single-family dwellings.
6. Licence to Use the Site
Subject to your compliance with these Terms, WFE grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Site for the purpose of evaluating, requesting, or purchasing WFE's Services. This licence does not grant you any right to:
- Reproduce, modify, distribute, publicly display, publicly perform, or create derivative works based on the Site or its Content, except as expressly permitted by these Terms or by applicable copyright law (including fair-dealing rights under the Copyright Act of Canada);
- Use the Site or its Content for any commercial purpose other than evaluating or purchasing WFE's Services;
- Use any part of the Configurator's code, assets, or output as a basis for a competing product or service;
- Remove, obscure, or alter any proprietary notices on the Site.
WFE reserves all rights not expressly granted in these Terms.
7. Acceptable Use
You agree not to use the Site in any way that:
- Violates any applicable federal, provincial, or municipal law or regulation, including the Competition Act, the Criminal Code of Canada, CASL, or PIPEDA;
- Submits false, misleading, or fraudulent information through any form on the Site;
- Impersonates any person or entity, or misrepresents your affiliation with any person or entity;
- Uses any automated tool, bot, crawler, scraper, or harvesting software to access the Site, except for indexing by recognized search engines that respect our robots.txt;
- Probes, scans, or tests the vulnerability of the Site or its infrastructure, or breaches or otherwise circumvents any security or authentication measures;
- Interferes with or disrupts the Site, its services, the Configurator, our servers, or any networks connected to the Site;
- Reverse engineers, decompiles, disassembles, or otherwise attempts to derive the source code of the Configurator or any other part of the Site, except to the extent permitted by applicable law;
- Uses the Site to transmit any malware, viruses, worms, Trojan horses, or other harmful code;
- Collects or harvests Personal Information of other users of the Site;
- Republishes, redistributes, or commercially exploits the Content without WFE's written permission;
- Submits a User Submission that infringes the intellectual property rights or privacy rights of any third party;
- Engages in any other conduct that, in WFE's reasonable judgment, restricts or inhibits any other user from using the Site or exposes WFE or any other party to liability.
8. User Submissions
When you submit information, content, or materials to WFE through the Site (including quote-request forms, Configurator inputs and saved configurations, contact-form messages, and any uploaded files), you:
- Represent and warrant that you have all rights necessary to submit the User Submission and that the submission does not infringe the intellectual property, privacy, or other rights of any third party;
- Grant WFE a worldwide, royalty-free, sublicensable, transferable licence to use, reproduce, modify, store, and create derivative works of the User Submission for the purposes of evaluating your inquiry, preparing a Quote, performing the Services, and improving the Site and the Configurator. This licence is perpetual with respect to information necessary for WFE to maintain records of its dealings with you, and is otherwise terminable by you in writing on reasonable notice;
- Acknowledge that WFE is not obligated to act on or respond to any User Submission;
- Agree that WFE may aggregate and anonymize User Submissions for internal analysis, product development, and statistical purposes; aggregated and anonymized data is not subject to the licence-termination right above.
9. The Quote Process
A Quote-request form submission, telephone call, email, or Configurator output is a non-binding inquiry by you, not an offer or contract. WFE may, in its sole discretion, decline to respond, decline to provide a Quote, or condition a Quote on a site visit, technical review, or additional information. Any Quote provided by WFE is an indicative price subject to a subsequent site visit, final design review, equipment availability, and the execution of an Installation Contract that supersedes the Quote.
Quotes are valid for 30 days from the date of issue unless otherwise stated in writing. Prices in Quotes are quoted in Canadian dollars (CAD) and are exclusive of applicable taxes (GST, HST, PST), permit fees, freight, and any other charges that are itemized separately in the Installation Contract. Equipment availability and lead times are estimates only and are not guaranteed until an Installation Contract is signed and the manufacturing slot is confirmed.
No Quote, communication, or User Submission creates a contract until you and WFE both sign a written Installation Contract.
10. The Configurator
The Configurator is a design exploration and visualization tool. It produces a representation of a walk-in cooler or freezer based on the dimensions, doors, refrigeration choices, finishes, and other inputs you select, and may compute estimated refrigeration load, panel quantities, and similar reference figures. The Configurator:
- Does not generate binding price quotes. Formal pricing requires a site visit and a written Quote prepared by WFE personnel;
- Does not constitute an offer to sell or a binding contract;
- Does not account for all real-world conditions that affect a refrigeration installation, including (without limitation) zoning, building permits, electrical service capacity, structural support, refrigerant regulations under federal and provincial environmental law, fire-code clearances, and accessibility requirements;
- May contain inaccuracies, simplifications, or computational limitations in its load and dimension estimates, which WFE corrects in the formal engineering review that precedes any signed Installation Contract.
Any spec sheet, PDF, image, or saved configuration generated by the Configurator is for your reference and for WFE's sales review only. It is not a Quote and does not bind WFE to any price, design, or specification.
11. Pricing, Currency, Taxes, and Payment
All Quotes and prices on the Site are in Canadian dollars (CAD) unless otherwise stated. Prices are exclusive of GST, HST, PST, and other applicable taxes, which are added at the rates in force at the time of invoice. Specific payment terms, deposit requirements, milestone payments, and final payment terms for a given project are set out in the Installation Contract for that project. As a general reference, commercial walk-in installations typically involve a deposit on signing, progress payments tied to project milestones (equipment receipt, install commencement, install completion), and a final payment on commissioning. Financing through one of our equipment finance partners is available subject to separate application and partner-specific terms.
12. Site-Level Warranty Disclaimer
To the maximum extent permitted by applicable law, the Site, the Configurator, and the Content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted availability. WFE does not warrant that:
- The Site will be uninterrupted, secure, or error-free;
- Defects in the Site will be corrected;
- The Site is free of viruses or other harmful components;
- The Configurator's outputs are suitable for any specific real-world installation without subsequent engineering review and a signed Installation Contract;
- Content on the Site is current, complete, or accurate at any given moment.
Product-level warranties applicable to actual walk-in installations (workmanship warranty, manufacturer warranty pass-through, refurbished-equipment functional warranty) are described on the warranty page and are made binding by the signed Installation Contract for your specific project. Those product warranties are not modified by this Section 12.
Nothing in these Terms excludes or limits any condition, warranty, or right that cannot be excluded or limited under applicable law, including any non-waivable rights you may have under the Consumer Protection Act, 2002 (Ontario) or the Sale of Goods Act (Ontario) where those statutes apply to your dealings with WFE.
13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event will WFE, its directors, officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of the Site, the Configurator, any Quote, or any pre-contract communications, including (without limitation) damages for lost profits, lost revenue, loss of business opportunity, lost data, business interruption, or loss of goodwill, whether based in contract, tort (including negligence), strict liability, statute, or any other legal theory, and even if WFE has been advised of the possibility of such damages.
WFE's total aggregate liability arising out of or relating to your use of the Site or these Terms (excluding any liability under a signed Installation Contract, which is governed by that contract's own liability terms) is limited to the greater of: (a) one hundred Canadian dollars (CAD $100); or (b) the total amount, if any, that you have paid to WFE in the six (6) months immediately preceding the event giving rise to the claim, in respect of the use of the Site.
The exclusions and limitations of liability in this Section 13 apply to the maximum extent permitted by law. They do not exclude or limit any liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any non-waivable rights under the Consumer Protection Act, 2002 (Ontario).
14. Indemnification
You agree to indemnify, defend, and hold harmless WFE and its directors, officers, employees, contractors, agents, and affiliates from and against any and all third-party claims, demands, losses, damages, costs, and expenses (including reasonable legal fees on a solicitor-and-client basis) arising out of or relating to: (a) your breach of these Terms; (b) any User Submission you submit through the Site; (c) your violation of any law or any third-party right (including intellectual property, privacy, or publicity rights); or (d) your misuse of the Site, the Configurator, or any Content.
WFE reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you will cooperate with WFE in asserting any available defences.
15. Intellectual Property
The Site, the Configurator, and all Content are owned by WFE or its licensors and are protected by the Copyright Act (Canada), the Trademarks Act (Canada), and other applicable Canadian and international intellectual property laws. The "World Food Equipment" name and logo are trademarks of WFE. Third-party manufacturer names and logos that appear on the Site (including Heatcraft, KeepRite, Trenton, Copeland, Tecumseh, and others) are trademarks of their respective owners and are used here for product-reference and informational purposes only; their appearance on the Site does not imply any endorsement, affiliation, or partnership beyond what is expressly disclosed.
You may view, print, and download Content from the Site for your personal or internal commercial reference (for example, sharing a Configurator spec sheet with a colleague evaluating a walk-in purchase). Any other use, including commercial republication, redistribution, modification, or use in a competing product or service, requires WFE's prior written permission and is otherwise prohibited.
16. Third-Party Websites and Services
The Site may contain links to or integrations with third-party websites and services (including manufacturer pages, financing partner sites, social media platforms, payment processors, and embedded video providers). WFE does not control these third-party services and is not responsible for their content, policies, availability, or practices. Your interactions with third-party services are governed by their own terms and policies, not by these Terms. The inclusion of a link or integration does not imply endorsement by WFE.
17. Privacy
Your privacy is important to us. Our collection, use, and disclosure of your Personal Information in connection with your use of the Site is governed by our Privacy Policy, which is incorporated by reference into these Terms.
18. Electronic Communications and Signatures
By using the Site, you consent to receive communications from WFE in electronic form (email, SMS where you have provided a mobile number, in-Site messages, and electronic documents). You agree that any electronic communications, notices, agreements, disclosures, and other documents that WFE provides to you electronically satisfy any legal requirement that such communications would satisfy if they were in writing on paper, in accordance with the Electronic Commerce Act, 2000 (Ontario) and the Personal Information Protection and Electronic Documents Act (Canada).
You further agree that an electronic signature (including by clicking "I agree," by typing your name, or by adopting any other process that demonstrates your intent to be bound) has the same legal effect as a handwritten signature for the purposes of any agreement or document you electronically sign in connection with the Site or our Services.
19. Force Majeure
Neither party will be liable for any failure or delay in performance under these Terms (excluding payment obligations) caused by events beyond that party's reasonable control, including acts of God, natural disasters, wildfires, floods, severe weather, epidemics or pandemics, acts of war or terrorism, civil unrest, government orders or actions, supply chain disruptions, refrigeration component manufacturer delays, freight disruptions, labour disputes not involving the party's own workforce, telecommunications or utility failures, and cyberattacks. The affected party will use reasonable efforts to mitigate the effects of the event and resume performance as soon as reasonably practicable.
20. Termination
WFE may suspend or terminate your access to the Site at any time, with or without notice, for any reason or no reason, including any breach of these Terms. You may stop using the Site at any time. Upon termination, all rights granted to you under these Terms cease immediately, but the provisions that by their nature are intended to survive termination will survive, including Sections 8 (User Submissions licence), 12 (Warranty Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), 15 (Intellectual Property), 17 (Privacy), 23 (Governing Law), 24 (Dispute Resolution), 25 (Limitation Period), 26 (Class Action Waiver), and 32 (Entire Agreement).
21. Assignment
You may not assign, transfer, or sublicense your rights or obligations under these Terms without WFE's prior written consent. Any attempted assignment in breach of this Section is void. WFE may assign, transfer, or sublicense its rights and obligations under these Terms without your consent, including in connection with a merger, acquisition, financing, reorganization, or sale of all or part of its business or assets. These Terms bind and benefit the parties and their respective successors and permitted assigns.
22. Waiver
No failure or delay by WFE in exercising any right, power, or privilege under these Terms operates as a waiver of that right, power, or privilege. No single or partial exercise of any right, power, or privilege precludes any other or further exercise of it or the exercise of any other right, power, or privilege. Any waiver of a provision of these Terms is effective only if in writing and signed by WFE.
23. Governing Law
These Terms and any dispute arising out of or relating to them or to your use of the Site are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in that province, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
24. Dispute Resolution and Jurisdiction
The parties will attempt in good faith to resolve any dispute arising out of or relating to these Terms through informal negotiation before initiating formal proceedings. Either party may initiate informal negotiation by sending a written notice describing the dispute to the other party. The parties will negotiate in good faith for at least 30 days from the date of the notice before either party may initiate court proceedings, except that either party may seek interim or injunctive relief in a court of competent jurisdiction at any time.
If the dispute is not resolved through informal negotiation, the parties irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario sitting in the City of Toronto for the resolution of all disputes arising out of or relating to these Terms or your use of the Site.
25. Limitation Period
To the maximum extent permitted by applicable law, any claim or cause of action arising out of or relating to these Terms or your use of the Site must be commenced within the basic limitation period set out in the Limitations Act, 2002 (Ontario), being two years from the date on which the claim was discovered or ought reasonably to have been discovered, failing which the claim is permanently barred. This Section does not extend any applicable statutory limitation period.
26. Class Action and Jury Trial Waiver
To the maximum extent permitted by applicable law, any dispute resolution proceeding will be conducted only on an individual basis and not as a class action, mass action, or representative action. You and WFE each waive any right to participate in a class proceeding under the Class Proceedings Act, 1992 (Ontario) in respect of any dispute arising out of or relating to these Terms or your use of the Site. This Section does not apply to the extent that the waiver is unenforceable under applicable law, including any non-waivable consumer-protection rights under the Consumer Protection Act, 2002 (Ontario).
27. Notices
Any notice or other communication required or permitted to be given under these Terms must be in writing and is deemed to have been given:
- To WFE, when delivered by registered mail, courier, or hand delivery to the address in Section 35, or by email to [email protected] with confirmation of receipt;
- To you, when sent to the email address or postal address you most recently provided to WFE through the Site or in writing.
Notices are deemed received: by hand delivery, on the date of delivery; by courier, on the next business day after dispatch; by registered mail, five business days after the date of mailing; by email, on the date of transmission if sent during business hours on a business day in Ontario, otherwise on the next business day.
28. Independent Contractor Relationship
Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and WFE. Neither party has the authority to bind the other or to incur any obligation on the other's behalf. WFE is and remains an independent contractor with respect to all Services it provides.
29. No Third-Party Beneficiaries
These Terms are for the benefit of you and WFE only and do not confer any rights, remedies, or benefits on any third party. The Contracts (Rights of Third Parties) doctrine, where applicable, is expressly excluded.
30. Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable while preserving its original intent, or, if such modification is not possible, severed from these Terms. The remaining provisions will continue in full force and effect.
31. Interpretation
The headings in these Terms are for convenience only and do not affect interpretation. Words in the singular include the plural and vice versa. The word "including" means "including without limitation." References to a statute include the regulations made under it and any amendment, replacement, or re-enactment of that statute. These Terms have been prepared by WFE; however, the rule of construction that an ambiguity is interpreted against the drafter does not apply to these Terms.
32. Entire Agreement
These Terms, together with the Privacy Policy and any Installation Contract you have signed with WFE, constitute the entire agreement between you and WFE with respect to your use of the Site and the pre-contract sales relationship, and supersede all prior or contemporaneous agreements, communications, representations, and understandings, whether oral or written, with respect to that subject matter. In the event of a conflict between these Terms and an Installation Contract, the Installation Contract governs the subject matter of that contract.
33. Language
These Terms have been drafted in the English language. The parties have requested that these Terms be drawn up in English. Les parties ont demandé que les présentes conditions soient rédigées en anglais. If WFE provides a French translation of these Terms, the English version will prevail in the event of any conflict, except where Quebec law mandates the French version's primacy.
34. Accessibility
WFE is committed to providing an accessible website and accessible documents in accordance with the Accessibility for Ontarians with Disabilities Act, 2005 (AODA). If you require these Terms in an alternate accessible format, contact us using the information in Section 35.
